Terms of Service for Yeksa.nl

1. Agreement to Terms

Yeksa.nl ("Service") is provided by SEO Market, our Dutch partner, together with the Yeksa team. SEO Market is based at Poelweg 40 E, 1424 PB De Kwakel, Netherlands. These Terms of Service ("Terms") govern your access to and use of our website and services. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Description of Service

Yeksa.nl provides a platform that connects to the Instagram API and the WhatsApp Business Platform, allowing registered users to view, manage, and respond to Direct Messages and comments on their connected Instagram Business or Professional accounts, and to send and receive WhatsApp messages with their customers through their own WhatsApp Business numbers.

4. User Account & Security

You must register for an account to use the Service. You agree to provide accurate and complete registration information and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@yeksa.nl of any unauthorized use of your account.

5. Instagram Connection & Your Responsibilities

a. To use the core functionality, you must connect a valid Instagram Business or Professional account. You represent that you have the authority to grant us access to that account.

b. Your Compliance: You agree to use the Service in full compliance with:

  • All applicable laws and regulations.
  • Meta's Facebook Platform Terms, Instagram Terms of Use, Developer Policies, and Community Guidelines.
  • Any terms you have with your own followers or customers.

c. You are solely responsible for:

  • The content of any messages or responses sent through our Service.
  • Ensuring your use of automated features (if any) complies with Instagram's rules.
  • Obtaining all necessary rights and consents for any data you process through our Service.

5A. WhatsApp Business Platform

a. You connect your own WhatsApp Business Account and phone number through Meta's signup flow. You represent that you are authorized to act for that business and you accept the WhatsApp Business Terms of Service presented by Meta during signup.

b. Your compliance: You agree to follow the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, the WhatsApp Business terms and all applicable laws. In particular you must:

  • Only contact people who have given you their phone number and agreed to receive messages from your business, and honor every request to stop.
  • Outside the 24-hour customer service window, only send message templates approved by Meta.
  • Not send spam, prohibited content or messages that mislead or harass recipients.

c. Charges: Meta charges for certain WhatsApp messages. These charges are billed by Meta directly to the payment method of your WhatsApp Business Account and are your responsibility.

d. Protection of the platform: To protect your number and other users, we may limit or pause sending for a number when Meta's quality signals, sending volumes or reports indicate misuse.

e. Your number: Your WhatsApp Business Account and number remain yours. Disconnecting stops our access. If we registered your number for the WhatsApp Cloud API, we will give you its two-step verification PIN on request.

6. Intellectual Property Rights

a. Our Property: The Service, its original content, features, and functionality (excluding your data), are and will remain the exclusive property of Yeksa.nl and its licensors. The Service is protected by copyright, trademark, and other laws.

b. Your Property: We claim no intellectual property rights over the content you provide or process through the Service (your "User Content"). You retain all ownership of your User Content.

c. License Grant: By connecting your Instagram account and providing User Content, you grant Yeksa.nl a limited, non-exclusive, worldwide license to access, process, store, and transmit your User Content solely for the purpose of providing the Service on your instructions, in accordance with our Privacy Policy.

7. Prohibited Uses

You may not use the Service to:

  • Violate any applicable law or regulation.
  • Infringe upon or violate our or any third party's intellectual property or privacy rights.
  • Send spam, harass, abuse, or harm another person.
  • Distribute viruses, malware, or any other destructive code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. YEKSA.NL EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YEKSA.NL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNT YOU HAVE PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR €50 (EUROS), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Yeksa.nl and its licensors from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including any Instagram, WhatsApp or Meta policy or applicable law.

11. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time by disconnecting your Instagram account or WhatsApp number and contacting us to delete your data.

12. Data Privacy & Deletion

Your privacy is important to us. Our collection and use of your personal data is governed by our Privacy Policy. If you wish to delete your data from our systems, please follow the instructions on our dedicated Facebook/Instagram Data Deletion Instructions page.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
